Supplier Code of Conduct
1. Scope and how this Code applies
This Code sets the minimum standards Chronotope Labs, Inc. ("Chronotope") expects from the companies and individuals that supply goods or services to it: contractors and freelancers, cloud and software providers, data processors, recruiters, travel and logistics providers, and any subcontractor they use for our work (together, "Suppliers").
The Code is incorporated by reference into our supplier agreements and purchase orders. By accepting work from Chronotope, a Supplier agrees to comply with it, to apply equivalent standards in its own supply chain, and to tell us promptly if it cannot. Where local law sets a higher standard than this Code, the law applies; where this Code is stricter, the Code applies.
2. Labor and human rights
Suppliers must respect the human rights of their workers in line with the Universal Declaration of Human Rights, the ILO Declaration on Fundamental Principles and Rights at Work and the UN Guiding Principles on Business and Human Rights. In particular, Suppliers must:
- Prevent, avoid and eradicate child labor. Employ no one below the legal minimum working age or the age for completing compulsory education, whichever is higher, and never below 15; verify age with official documents; and engage anyone aged 15 to 17 only in legitimate training or apprenticeship arrangements that are not hazardous and do not interfere with schooling.
- Prevent, avoid and eradicate forced labor and human trafficking. Use only labor that is freely given; never use prison, bonded, indentured or trafficked labor; never retain identity documents, charge recruitment fees to workers or restrict their freedom to leave.
- Hire under written terms. Give every worker a written agreement, in a language they understand, stating the basic terms and conditions before work starts.
- Pay and schedule lawfully. Pay at least the legal minimum wage and benefits, on time; respect legal limits on working hours; make overtime voluntary and compensate it as the law requires.
- Not discriminate. Make employment decisions without regard to sex, gender identity, sexual orientation, national or ethnic origin, race, religion, marital status, pregnancy, disability, age, political affiliation, socioeconomic status, medical condition or any other characteristic protected by law.
- Prevent harassment and abuse. Prohibit sexual harassment, workplace harassment, corporal punishment, threats and intimidation.
- Respect freedom of association. Allow workers to form or join unions and bargain collectively without reprisal.
These obligations extend to the Supplier's own suppliers and subcontractors engaged in work for Chronotope.
3. Health and safety
Suppliers must provide a safe and healthy workplace that complies with applicable occupational health and safety law, identify and control the hazards of their work, provide the protective equipment and training their workers need, and record and investigate incidents. Suppliers whose personnel accompany us to client sites must follow the host site's rules and our Health, Safety and Wellbeing Policy.
4. Business integrity
Suppliers must not offer, give, request or accept bribes, kickbacks or improper payments of any kind, to or from anyone, including public officials, and must comply with the U.S. Foreign Corrupt Practices Act, the Mexican Ley General de Responsabilidades Administrativas and any other anti-corruption law that applies. Gifts and hospitality involving Chronotope personnel must be modest, infrequent and never intended to influence a decision; cash or cash equivalents are never acceptable. Suppliers must disclose any conflict of interest, including a relationship with a Chronotope employee or a client of ours, and must compete fairly and keep accurate books and records.
5. Confidentiality and data protection
Much of Chronotope's work involves confidential operating data of its clients. Suppliers who receive Chronotope or client information must use it only for the agreed purpose, protect it with appropriate technical and organizational measures, restrict access to the people who need it, not transfer it to other countries or sub-processors without our written consent, return or destroy it when the work ends, and notify us within 48 hours of any actual or suspected breach. Suppliers that process personal data must comply with the data-protection law that applies, including the Mexican Ley Federal de Protección de Datos Personales en Posesión de los Particulares and applicable U.S. state law.
6. Environment
Suppliers must comply with applicable environmental law, hold the permits their activities require, handle and dispose of waste and hazardous materials lawfully, and work to reduce the energy, water and material footprint of what they provide to us.
7. Compliance, remediation and reporting
Chronotope may ask a Supplier for information or documents that show compliance with this Code, and, for higher-risk suppliers, for a self-assessment or a meeting to review it. If a Supplier falls short, we expect it to tell us, agree a corrective plan with a deadline, and carry it out; we work with Suppliers that remediate in good faith. We end the relationship with a Supplier that commits a serious violation, in particular any use of child, forced or trafficked labor, or that fails to remediate.
Suppliers and their workers can report a concern about Chronotope's conduct, or about conduct in our supply chain, through our Speak-Up and Remediation Procedure, anonymously if they prefer. Chronotope does not tolerate retaliation by anyone against a person who reports in good faith.
The Chief Executive Officer owns this Code and reviews it at least once a year.
